We also have elected to be treated for federal income tax purposes, and intend to qualify annually, as a regulated investment company, or a “RIC,” under the Internal Revenue Code of 1986, as amended (the “Code”). Our investment objective is to provide our shareholders with current income and, to a lesser extent, long-term capital appreciation. We are offering on a best efforts, continuous basis up to 209,000,000 shares of common stock in this offering. We are offering shares of our common stock pursuant to this prospectus only to investors who purchase through the registered investment advisor channel. No sales commissions or marketing support fees will be charged on purchases of shares of our common stock pursuant to this prospectus. The current offering price is $8.82; however, if our net asset value increases above our net proceeds per share as stated in this prospectus, we will sell our shares at a higher price as necessary to ensure that shares are not sold at a net price that is below our net asset value per share. Also, if our net asset value per share declines below 97.5% of the public offering price, then, subject to certain conditions, we may suspend selling shares until the net asset value per share is greater than 97.5% of the public offering price.
